Terms of Service

1. Acceptance of Terms

By accessing or using Touchpoint Network Intelligence ("Touchpoint," "the Service," "we," "us," or "our"), operated by mbAI LLC, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service.

These Terms constitute a legally binding agreement between you ("User," "you," or "your") and mbAI LLC. We reserve the right to modify these Terms at any time. Material changes will be communicated via email or in-app notification at least 30 days before taking effect. Continued use after changes constitutes acceptance.

2. Description of Service

Touchpoint is an AI-powered personal CRM and network intelligence platform designed for sales, consulting, and executive search professionals. The Service includes contact management, LinkedIn connection import and enrichment, AI-driven buyer intent detection ("Pulse AI"), Ideal Customer Profile (ICP) matching, deal pipeline management, and integration with third-party services including SalesRobot and LinkedIn.

We reserve the right to modify, suspend, or discontinue any feature of the Service at any time, with reasonable notice when practicable.

3. Eligibility

You must be at least 18 years old and capable of entering into a binding legal agreement to use Touchpoint. By using the Service, you represent and warrant that you meet these requirements. The Service is intended for business and professional use.

4. Account Registration and Security

To use Touchpoint, you must create an account by providing accurate and complete information, including your name, work email, LinkedIn profile URL, and a password. You may also register using Google or Microsoft OAuth.

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use. We are not liable for losses arising from unauthorized access to your account.

5. Subscription, Billing, and Trials

Touchpoint offers a free tier (up to 50 contacts) and a Professional plan at $49/month. New users receive a 14-day free trial of the Professional plan. No credit card is required to start the trial.

Paid subscriptions are billed monthly via Stripe. You authorize us to charge your payment method on file. Subscriptions automatically renew unless cancelled before the renewal date. You may cancel at any time through your account settings; cancellation takes effect at the end of the current billing period. Refunds are not provided for partial billing periods unless required by law.

We reserve the right to change pricing with at least 30 days' advance notice. Price changes will apply to the next billing cycle following the notice period.

6. User Data and Content

You retain ownership of all data you upload, import, or create within Touchpoint ("User Data"), including contacts, notes, deal information, and communication records. You grant us a limited, non-exclusive license to process, store, and display your User Data solely to provide and improve the Service.

You represent and warrant that you have the right to upload and process all User Data, including any personal data of your contacts, and that your use complies with all applicable data protection laws. You are solely responsible for ensuring that your collection and use of contact data (including data imported from LinkedIn) complies with LinkedIn's terms and applicable privacy regulations.

7. Acceptable Use Policy

You agree not to:

• Use the Service for any unlawful purpose or in violation of any applicable laws or regulations
• Scrape, harvest, or collect data from the Service through automated means beyond the features we provide
• Attempt to reverse engineer, decompile, or disassemble any part of the Service
• Interfere with or disrupt the integrity or performance of the Service
• Upload malicious code, viruses, or other harmful materials
• Impersonate another person or entity or misrepresent your affiliation
• Use the Service to send unsolicited bulk communications (spam) in violation of applicable anti-spam laws
• Resell, sublicense, or redistribute the Service without our written consent
• Exceed rate limits or abuse API access in a manner that degrades service quality for other users

Violation of this policy may result in immediate suspension or termination of your account.

8. Third-Party Integrations

Touchpoint integrates with third-party services including LinkedIn, SalesRobot, Google Contacts, Microsoft 365, Stripe, and Apify. Your use of these integrations is subject to the respective third-party terms of service and privacy policies. We are not responsible for the availability, accuracy, or practices of third-party services.

When you connect a third-party account, you authorize Touchpoint to access and process data from that service as necessary to provide the Service features. You may disconnect integrations at any time through your account settings.

9. AI Features and Automated Processing

Touchpoint uses artificial intelligence and machine learning to provide features such as lead scoring, buyer intent detection, contact enrichment, and ICP matching. AI-generated insights are provided as recommendations only and should not be treated as definitive business advice.

We use third-party AI services (including Anthropic Claude and OpenAI) to process certain data. Your data is processed in accordance with our Privacy Policy and subject to the data processing terms of our AI providers. We do not use your data to train general-purpose AI models.

10. Intellectual Property

The Service, including all software, algorithms, designs, text, graphics, logos, and trademarks, is the intellectual property of mbAI LLC and is protected by applicable intellectual property laws. Nothing in these Terms grants you any right, title, or interest in the Service beyond the limited right to use it as described herein.

The Touchpoint name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of mbAI LLC. You may not use such marks without our prior written permission.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, mbAI LLC AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

• Your use of or inability to use the Service
• Any unauthorized access to or alteration of your data
• Statements or conduct of any third party on the Service
• Errors, inaccuracies, or omissions in AI-generated content or insights
• Any other matter relating to the Service

Our total aggregate liability for any claims arising under these Terms shall not exceed the amount you paid us in the twelve (12) months preceding the claim.

12. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE.

13. Indemnification

You agree to indemnify, defend, and hold harmless mbAI LLC and its affiliates, officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the Service, your violation of these Terms, or your violation of any third-party rights.

14. Termination

You may terminate your account at any time through your account settings or by contacting us at support@touchpointconsulting.co. We may suspend or terminate your account if you violate these Terms, engage in fraudulent activity, or fail to pay applicable fees.

Upon termination, your right to use the Service ceases immediately. We will retain your data for 30 days following termination, during which you may request an export of your User Data. After 30 days, your data will be permanently deleted unless retention is required by law.

15. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Washington, without regard to conflict of law principles. Any disputes arising under these Terms shall first be subject to good-faith negotiation for 30 days. If unresolved, disputes shall be resolved through binding arbitration administered by JAMS under its Streamlined Arbitration Rules, held in King County, Washington.

YOU AGREE TO WAIVE YOUR RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION. Either party may seek injunctive relief in any court of competent jurisdiction.

16. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will continue in full force and effect.
